Соглашение
о
нижеследующем:
1. ОБЩИЕ ПОЛОЖЕНИЯ

Subsidiary Unitary Enterprise, hereinafter referred
to as the “Auction Organizer”, represented by the
Director General Kostechko M.I., acting on the
grounds of the Charter, on the one hand, and the
company_________________________________,
a
resident
of
_______________________,
hereinafter referred to as the “Bidder” represented
by the __________________________________,
acting on the grounds of the _______________, on
the other hand, hereinafter referred to as the
“Parties”, have concluded the present Agreement of
the following:
1.1. Настоящее Соглашение определяет права
и обязанности Сторон при проведении
Комиссией аукционов (торгов) по реализации
продукции химии и нефтехимии на экспорт на
Единой
торговой
площадке
концерна
«Белнефтехим» (далее – продукция).
1.2. В рамках настоящего Соглашения
используются следующие термины и их
определения:
«Единая торговая площадка концерна»
(далее – Единая торговая площадка) – сайт в
сети Интернет (http://bntdtorg.by), на котором
Единая тендерная комиссия с использованием
программного
обеспечения
«Система
электронных торгов» проводит торги по
реализации химической и нефтехимической
продукции на экспорт;
«Единая тендерная комиссия по
реализации химической и нефтехимической
продукции на экспорт на Единой торговой
площадке концерна» (далее – комиссия) –
комиссия, созданная концерном из числа
работников организатора торгов, аппарата
концерна и организаций, входящих в состав
концерна, для подготовки и проведения торгов
по реализации химической и нефтехимической
продукции на экспорт на Единой торговой
площадке концерна;
«Программное обеспечение «Система
электронных
торгов»
(далее
система
электронных
торгов)
–
программное
1.1. The present Agreement stipulates the rights
and obligations of the Parties during the auctions
(biddings) held by the Board on Export Sale of
Chemical and Petrochemical Production at the
United Trading Site of Belneftekhim Concern
(hereinafter – the “Goods”).
1.2. The following terms and their definitions are
used in the context hereof:
1. GENERAL PROVISIONS
«United Trading Site of the Concern»
(hereinafter the “United Trading Site”) is a site on
the Internet (http://bntdtorg.by) on which the
United Tender Board holds the auctions on export
sale of Chemical and Petrochemical Production
using the Electronic Auction System software;
«United Tender Board on Export Sale of
Chemical and Petrochemical Production» at the
United Trading Site of the Concern (hereinafter the
“Board”) is a board set up by the Concern of the
Auction Organizer’s, Concern’s employees and
employees of the organizations which are parts of
the Concern in order to prepare and to carry out the
auctions on export selling of Chemical
and Petrochemical Production at the United
Trading Site of the Concern;
“Electronic Auction System software”
(hereinafter – the “Electronic Auction System”) is
the software for preparing, sending, receiving,

реализующее
информационный процесс подготовки и
проведения торгов, а также для определения
победителя торгов на Единой торговой
площадке;
«Торги по реализации продукции на
экспорт» – процедура выбора победителя
торгов
на
конкурсной
основе
с
предоставлением
участнику
торгов,
предложившему наибольшую цену, права на
заключение договора поставки химической и
нефтехимической продукции;
«Продавец» - юридическое лицо,
являющееся собственником или владеющее на
праве хозяйственного ведения продукцией,
выставляющее ее в целях реализации на Единой
торговой площадке. В качестве продавца
продукции может выступать резидент или
нерезидент Республики Беларусь, имеющий
выданный в установленном порядке протокол
согласования поставки продукции в Республику
Беларусь либо документы, подтверждающие
наличие выставляемой на торги продукции;
«Договор
поставки»
–
договор
(контракт), дополнительное соглашение к нему,
заключаемые по результатам торгов между
победителем торгов и Продавцом, предметом
которого является поставка продукции;
«Претендент» – субъект хозяйствования
– нерезидент Республики Беларусь, прошедший
регистрацию в соответствующем разделе
Единой торговой площадки, представивший
организатору
торгов
документы,
подтверждающие его юридический статус и
правоспособность,
заключивший
с
организатором торгов соглашение об участии в
торгах, а также внесший в установленном
порядке задаток для участия в торгах (при его
применении);
«Участник торгов» – претендент,
допущенный Комиссией к участию в торгах;
«Лот» – определенное Продавцом
количество продукции, заявленной им на
реализацию на Единой торговой площадке;
«Подлот» - определенное Комиссией
количество продукции, выделенное из лота и
выставленное на торги.
1.3. Торги проводятся в форме аукциона с
повышением цены.
1.4. Предметом торгов является право на
заключение договора поставки продукции.
1.5. Основанием для допуска Претендента к
торгам является представление Претендентом
Организатору торгов пакета документов,
указанного в п. 1.6. настоящего Соглашения,
заключение
с
Организатором
торгов

of the Auction preparation and holding as well as
of the Auction winner determination at the United
Trading Site;
“Auction on export sale of production”
means a procedure of making a choice of the
Auction winner on a competitive basis with
granting to the Auction Bidder, which has offered
the greatest price, the right to conclude a supply
agreement
of
Chemical and Petrochemical
Production;
“Seller” is a legal person being the owner
or possessing the production on the economic
management right and putting it up for realization
at the United Trading Site. As the Seller of
production can act a resident or a non-resident of
the Republic of Belarus, possessing the Adjusting
Record of goods supply to the Republic of Belarus
issued in accordance with the established procedure
or documents confirming availability of the
production put up for the Auction;
“Supply Agreement” is an agreement
(contract), additional agreement thereto concluded
according to the results of the Auction between the
Auction winner and the Seller, the subject thereof
being production supply;
“Bidder” is an entity, a non-resident of the
Republic of Belarus, which has registered in the
appropriate section of the United Trading Site, has
submitted to the Auction Organizer the documents
confirming his legal status and legal capacity, has
concluded the participation agreement in the
auction with the Auction Organizer and also has
transferred the deposit for participation in the
Auction in accordance with the established
procedure (if the deposit is used).
“Auction Bidder” is a Bidder admitted by the
Board to participate in the Auction;
“Lot” is the quantity of the Goods specified
by the Seller and presented by him for sale at the
United Trading Site;
“Sublot” is the quantity of the Goods
specified by the Board, separated from the Lot and
put up for sale.
1.3. The Auction shall be held as an auction with
price increase.
1.4. The right for concluding the goods supply
agreement shall be the subject of the Auction.
1.5. The grounds for admitting the Bidder to the
Auction shall be the submission by the Bidder of
the set of the documents stated in subclause 1.6. of
the present Agreement to the Auction Organizer,
conclusion of the present Agreement with the

настоящего Соглашения.
1.6. Претендент обязуется в целях допуска его
к участию в торгах представить Организатору
торгов документы, подтверждающие его
юридический статус и правоспособность
(апостилированную (легализованную) выписку
из торгового реестра (регистра) страны
учреждения
либо
иные
эквивалентные
доказательства
юридического
статуса
и
правоспособности, признаваемые в качестве
таковых
законодательством
страны
учреждения), учредительные документы, а
также
документы,
подтверждающие
полномочия физического лица, имеющего
право подписи от имени Претендента.
1.7. Претендент соглашается, что в случае
невыполнения действий, указанных в п. 1.5
настоящего Соглашения, он не допускается к
участию в торгах.
1.8. Организация и проведение торгов на
Единой торговой площадке осуществляется по
минскому времени.
1.9. Для участия в электронных торгах по
реализации продукции химии и нефтехимии,
Претенденту
необходимо
пройти
самостоятельную регистрацию на сайте Единой
торговой площадки направление «Химия и
нефтехимия» в разделе «Регистрация».
1.10. При признании Претендента победителем
торгов на него возлагаются следующие
обязанности:
-в день, когда он признан победителем
торгов подписать по факсимильной связи (факс
+375 17 2719719) протокол Комиссии о
результатах
торгов,
имеющий
силу
предварительного договора;
- в срок, указанный в размещенном на
сайте извещении о реализации лота, заключить
договор поставки с Продавцом;

1.6. With a view to be admitted to participating in
the Auction the Bidder shall undertake to provide
the Auction Organizer with the documents
confirming his legal status and legal capacity
(legalized (apostille) extract from the trade register
of the country of establishment or other equivalent
evidence of legal status and legal capacity
recognized as those by the legislation of the
country of establishment), constituent documents
as well as the documents confirming powers of the
natural person entitled to sign on the Bidder’s
behalf.
2.1. В случае если Претендент, признанный
победителем торгов откажется от исполнения
обязанностей, указанных в п. 1.10. настоящего
Соглашения,
Организатор
торгов
при
проведении торгов, вправе в будущем не
допускать этого Претендента к торгам.
3. РАЗРЕШЕНИЕ СПОРОВ
2.1. If the Bidder which has been declared the
Auction winner refuses to carry out the obligations
stated in subclause 1.10. hereof, the Auction
Organizer has the right not to admit this Bidder to
the Auction when holding the Auction in the
future.
3. SETTLEMENT OF DISPUTES
3.1. Все споры или разногласия, которые могут
возникнуть в связи с исполнением настоящего
Соглашения, подлежат урегулированию, по
возможности,
путем
переговоров
или
переписки.
3.1. All the disputes and controversies which may
arise in connection with the execution of the
present Agreement are subject to settlement by
means of negotiations and correspondence, if
possible.
1.7. The Bidder agrees that in case of
noncompliance with the actions stated in subclause
1.5. of the present Agreement he is not admitted to
the participation in the Auction.
1.8. The Auction shall be organized and held at the
United Trade Site according to the Minsk time.
1.9. In order to participate in the electronic Auction
on the sale of Chemical and Petrochemical
Production the Bidder shall be registered by
himself at the United Trading Site in the section
“Registration”
of
the
module
“Chemical and Petrochemical Production”.
1.10. Should the Bidder be declared the Auction
winner, he shall be imposed the following
obligations:
- to sign by facsimile communication (fax
+375 17 2719719) the Board record of the Auction
results, which record has the effect of a preliminary
agreement, the day on which he is declared the
Auction winner;
- to conclude the supply agreement with the
Seller within the time limit mentioned in the
notification about the lot realization put up on the
site;

2. ОТВЕТСТВЕННОСТЬ СТОРОН

3.2. Разногласия
или
споры,
не
урегулированные в соответствии с подпунктом
3.1.
настоящего
Соглашения,
подлежат
разрешению в Международном арбитражном
суде при Белорусской торгово-промышленной
палате, в соответствии с Регламентом данного
Арбитражного суда. Решение арбитража
является обязательным для обеих сторон.
3.3. Применимое право – материальное право
Республики Беларусь.
3.4.
Языком разбирательства установлен
русский.
4. ПРОЧИЕ УСЛОВИЯ
3.2. The controversies and disputes unsettled in
accordance with subclause 3.1. hereof are subject
to settlement in the International Arbitration
Tribunal of the Belarusian Chamber of Commerce
and Industry pursuant to the Regulations thereof.
The Arbitration Tribunal’s award shall be binding
for the both Parties.
4.1. Организатор
торгов
не
несет
ответственности перед Претендентом в случае
сбоя в работе ПО «Система электронных
торгов» и снятии по техническим причинам
подлота с торгов без объявления победителя.
4.2. Направление Претендентом заявки на
участие в торгах в установленном порядке
расценивается Комиссией и Организатором
торгов как согласие Претендента участвовать в
торгах на указанных в извещении о проведении
торгов условиях.
4.3. Настоящее Соглашение вступает в силу с
момента его подписания обеими Сторонами и
действует по 31.12.2014 г. Если ни одна из
сторон, за месяц до окончания срока договора,
не заявит о его прекращении, договор считается
пролонгированным на каждый следующий год.
4.4. Все
изменения
и
дополнения
к
настоящему Соглашению действительны лишь
в случае, если они составлены в письменной
форме и подписаны уполномоченными лицами
обеих Сторон.
4.5. Настоящее Соглашение составлено на
русском и английском языках в двух
экземплярах, обладающих равной юридической
силой, по одному экземпляру для каждой из
Сторон. В целях урегулирования возможных
разногласий
относительно
толкования
Соглашения Стороны используют текст на
русском языке.
4.6. Для
ускорения
документооборота
Стороны допускают подписание документов с
использованием средств факсимильной связи с
обязательным
последующим
обменом
оригиналами документов в течение 30 дней. Все
документы,
направляемые
в
адрес
Организатора торгов по факсимильной связи,
направляются по факсу +375 17 271 97 19.
4.7. Протокол
о
результатах
торгов
подписывается путем использования средств
факсимильной связи (факс +375 17 271 97 19).
Подписанный
таким
образом
документ
считается имеющим юридическую силу.
4.8. По всем вопросам, не нашедшим своего

the Bidder in case of failure in the work of
“Electronic Auction System software” and
recalling a sublot from the Auction for technical
reasons without declaration the Auction winner.
4.2. The submission by the Bidder of the
application for bidding in accordance with the
established procedure is regarded by the Board and
the Auction Organizer as the Bidder’s agreement to
participate in the Auction on terms stated in the
notification about the Auction holding.
4.3. The present Agreement enters into force on the
date of its signing by both Parties and is valid until
31.12.2014. If neither Party declares about
termination of the Agreement a month before its
termination, the Agreement is considered to be
prolonged to each following year.
4.4. All amendments and addenda to the present
Agreement are valid only on condition of being
made in a written form and signed by authorized
representatives of both Parties.
3.3. The law of substance of the Republic of
Belarus shall be the applicable law.
3.4. Russian shall be the language of proceedings.
4. OTHER PROVISIONS
4.5. The present Agreement is drawn up in the
Russian and English languages in two copies, one
copy for each Party, both texts being equally valid.
For the purpose of settlement of any disputes
regarding the Agreement interpretation, the Parties
shall use the text made in Russian.
4.6. For faster circulation of documents the Parties
find conceivable the signing of the documents by
means of facsimile communication with obligatory
subsequent exchange of the originals of the
documents within 30 days. All the documents
being sent to the Auction Organizer’s address by
facsimile communication are to be sent by fax
number +375 17 271 97 19.
4.7. The record of the Auction results is signed by
means of facsimile communication (fax number
+375 17 271 97 19). The document signed this way
is considered to be valid.
4.8. On all the issues not affected in the present

или косвенно вытекающим из отношений
Сторон

нему,

затрагивающим
имущественные интересы и деловую репутацию
Сторон, Стороны будут руководствоваться
законодательством Республики Беларусь.
4.9. Организатор торгов и Претендент
гарантируют, что они надлежащим образом
зарегистрированы
в качестве
субъектов
хозяйствования – коммерческих организаций по
законам страны места регистрации и настоящее
Соглашение подписано их полномочными
представителями.
4.10. Информация об участниках торгов,
предложенных ими ценах, входит в состав
коммерческой тайны Организатора торгов, а
также не подлежит разглашению членами
Комиссии. Информация о победителях торгов
не подлежит разглашению иным лицам, кроме
Продавца и победителя торгов, которые, в свою
очередь, должны принимать все возможные
меры к защите режима конфиденциальности
этой информации.
5.
ЮРИДИЧЕСКИЕ АДРЕСА, БАНКОВСКИЕ
РЕКВИЗИТЫ И ПОДПИСИ СТОРОН
Agreement but follow directly or indirectly from
relations of the Parties according to it and affect
property interests and business reputation of the
Parties, the Parties will follow the legislation of the
Republic of Belarus.
4.9. The Auction Organizer and the Bidder
guarantee that they are registered properly as the
entities – commercial organizations according to
the laws of the country of establishment and the
present Agreement is signed by their authorized
representatives.
4.10. Information about the Auction Bidders, their
proposed prices is the Auction Organizer’s
commercial secret and is not be disclosed by the
members of the Board. Information about the
Auction winners is not be disclosed to other
persons with the exception of the Seller and the
Auction winner which in turn must take all possible
measures to protect confidentiality of this
information.
