настоящий договор (далее – Договор) о
нижеследующем:
1. ПРЕДМЕТ ДОГОВОРА
Предметом Договора является открытие
Банком Клиенту расчетного Счета в валюте
Российской Федерации для юридического
лица, созданного в соответствии
с
законодательством
иностранного
государства и имеющего местонахождение за
пределами
территории
Российской
Федерации, и осуществление расчетного
обслуживания Клиента на
условиях
присоединения Клиента к действующим
«Общим условиям расчетно - кассового
обслуживания
Банком
ГПБ
(АО)
юридических
лиц
–
некредитных
организаций,
индивидуальных
предпринимателей и физических лиц,
занимающихся
в
установленном
законодательством Российской Федерации
порядке частной практикой» (далее –
Условия), а также в соответствии с
законодательством Российской Федерации,
нормативными актами Банка России,
условиями настоящего Договора и тарифами
Банка (далее - Тарифы), с которыми Клиент
ознакомлен и согласен.
2. ПРАВА И ОБЯЗАННОСТИ

hereinafter referred to as the Parties, have
entered into the following Agreement
(hereinafter referred to as the “Agreement”):
1. SCOPE OF THE AGREEMENT
Scope of the Agreement includes opening by the
Bank of the Customer’s current account,
denominated in the currency of the Russian
Federation for a legal entity, created under the
laws of relevant country and which is located
outside the Russian Federation, and providing
settlement services to the Customer in
compliance with existing General Terms of
settlement and cash management services,
provided by Bank GPB (JSC) to legal entities
(non-credit institutions), sole proprietors and
self-employed individuals (according to relevant
RF laws) (hereinafter referred to as the
“Terms”), as well as in compliance with RF
laws, regulations of the Bank of Russia, terms of
this Agreement and the Bank’s fees (hereinafter
referred to as the “Fees”) (the Customer has
received information about the Fees and
accepted them).

3. ПОРЯДОК РАЗРЕШЕНИЯ
СПОРОВ
3.1. В случае возникновения между Банком и
Клиентом споров по вопросам исполнения
Договора Стороны обязуются урегулировать
их путем переговоров между собой.
3.2. Разногласия, по которым Стороны не
достигнут соглашения путем переговоров,
подлежат разрешению в Арбитражном суде
г. Москвы.
4. СРОК ДЕЙСТВИЯ ДОГОВОРА
4.1. Договор вступает в силу с даты его
подписания.
4.2. Срок действия Договора определяется
положениями Условий применительно к
Счету.
4.3. Договор может быть изменен или
дополнен по соглашению Сторон за
исключением случаев, когда, исходя из
предоставленных по Договору прав, Банк
может изменить условия Договора в
одностороннем порядке.
4.4. Договор может быть расторгнут по
инициативе
Сторон
в
порядке,
установленном
законодательством
Российской Федерации.
4.5. Основанием для прекращения Договора
является исключение записи о Клиенте из
Единого
государственного
реестра
юридических
лиц
или
из
Единого
государственного реестра индивидуальных
предпринимателей.
4.6. Договор может быть расторгнут Банком
в одностороннем судебном порядке при
выявлении
в
деятельности
Клиента
признаков сомнительных операций и сделок,
а также при непредставлении Клиентом
дополнительной информации Банку, в том
числе объясняющей экономический смысл
проводимых операций и сделок.
5. ПРОЧИЕ УСЛОВИЯ
Стороны соглашаются, что если какие-либо
положения настоящего Договора или
Условий
будут
противоречить
законодательству Российской Федерации или
нормативным актам Банка России, то такие
3. DISPUTE SETTLEMENT
PROCEDURES
3.1. The Parties will settle any disputes, arising
between the Bank and the Customer in
connection with fulfillment of the Agreement,
through negotiations.
3.2. Those disagreements, which will not be
settled by the Parties during negotiations, will be
resolved in Moscow Arbitration Court.
4. VALIDITY PERIOD
4.1. This Agreement will take effect on the date
of its execution.
4.2. Period of the Agreement will be determined
by provisions of the Terms, which apply to the
Account.
4.3. The Agreement may be amended or
modified based on relevant agreement between
the Parties, except for cases when (based on the
rights, which were granted under this
Agreement) the Bank may modify the terms of
this Agreement at its own discretion.
4.4. The Agreement may be terminated by any
Party according to the procedures, specified by
relevant RF laws.
4.5. Deletion of the entry regarding the
Customer in the Unified State Register of Legal
Entities or in the Unified State Register of Sole
Proprietors will represent the grounds for
termination of the Agreement.
4.6. The Bank may terminate the Agreement
according to relevant court ruling, if the
Customer's operations raise suspicions, as well
as when the Customer does not provide to the
Bank
additional
information,
including
explanation of the transactions’ economic sense.
5. MISCELLANEOUS
The Parties agree that if any provisions of this
Agreement or Terms are in conflict with
relevant RF laws or regulations of the Bank of
Russia, the Parties will treat such provisions as
invalid. The Parties agree that in this case

законодательством Российской Федерации
или нормативными актами Банка России.
Настоящий Договор составлен на русском и
английском языках в двух экземплярах, по
одному экземпляру для Банка и Клиента. В
случае противоречий (расхождений) между
версией на русском языке и версией на
английском языке настоящего Договора
версия на русском имеет преимущественную
силу.
Настоящий Договор составлен и подлежит
толкованию
в
соответствии
с
законодательством Российской Федерации.

This Agreement was made in 2 counterparts in
Russian and English (one copy for the Bank and
one copy for the Customer). In case of any
discrepancies between the Russian and English
versions of the Agreement, the Russian version
will prevail.
This Agreement was executed, and it will be
interpreted according to RF laws.
