This Agreement for training of specialists
(thereafter further referred to as “Agreement”) is
made and entered into on the date and year

Договор
о
подготовке
специалистов (в дальнейшем именуемый
“Договор”) заключен в день и год, указанные
выше (“Дата вступления в силу”), между:

действующим на основании Лицензии на
право ведения образовательной деятельности

Article 1: Scope of Agreement
1.1 The scope of this Agreement is to establish
the procedure under which Training Center shall
perform training and qualifications improvement
of the Customer’s technical specialists
(hereinafter “Trainees”) pursuant to the
appropriate training program (hereinafter
“Training Program”) to be selected by the
Customer and to be indicated in individual Order
Статья 1: Предмет Договора
1.1. Предметом настоящего Договора является
определение порядка, в соответствии с
которым
Учебный
Центр
обязуется
осуществить подготовку и повышение
квалификации технических специалистов
Заказчика (далее именуемых «Стажеры»)
согласно
соответствующей
учебной
программы (далее “Программа Обучения”),
выбираемой Заказчиком и указываемой в
индивидуальном Заказе (Приложение 1 -
2
(Annex 1 – pro forma).
1.2 The fulfillment by the Training Center of the
obligations stipulated above shall be completed
in accordance with the terms as defined in
individual Order to be mutually agreed between
the Parties.
1.3 The Parties shall hold preliminary
negotiations in order to define necessary training
courses and the number of the delegated
Trainees. The Customer will forward a
preliminary Order to the Training center.
1.4 In the event that, subject to primary
accommodation, Training Center shall justify the
realization of the given training courses and shall
submit to the Customer the Order in two copies
having been unilaterally approved and signed.
Each Order shall contain the implementation
terms, number of Trainees, the value, time
schedule, training program and the scope of each
training course, place of training.
1.5 If the terms of such Order are satisfactory to
the Customer, the Customer will confirm the
proposed Order and shall forward twenty (20)
days prior to the commencement of training to
the Training Center one (1) signed original of the
Order. Receipt by the Training Center of the
Order, signed by both Parties shall be regarded as
“Order Effective Date”. Otherwise the Order
shall be regarded as not having become effective
and the bargain shall be deemed to be null and
void. Not later then five (5) days before first
Training day the List of Trainees, signed by the
Customer should be sent the Training Center as a
notification.
1.6 All Orders having been agreed upon between
the Parties are integral part of this Agreement.
1.7 The detailed description of the respective
training program as well as training courses on
the basis of which the training program is
comprised, are expressly illustrated in each Order
applicable to this Agreement.
1.8 The Customer hereby recognizes and
covenants that all training courses will be held in
Russian and all technical documentation provided
by the Training Center for the purposes thereof will
be made in English.
1.9 Upon completion of the training, each Trainee
shall be entitled to obtain a Certificate following
successful completion of the training.
1.10 The obligations referred to above shall be
deemed to have been fulfilled by the Training
Center and accepted by the Customer after the
signature of the Act of Acceptance (Annex 2 - pro

1.2.
Выполнение
Учебным
Центром
вышеуказанных обязательств должно быть
осуществлено в соответствии со сроками,
оговариваемыми в Заказах, подлежащих
согласованию Сторонами.
1.3. Стороны проводят предварительные
переговоры, определяющие необходимые
курсы и количество направляемых Стажеров.
Заказчик направляет в Учебный Центр
предварительный Заказ на обучение.
1.4.В случае достижения предварительной
договоренности
Учебный
Центр
подтверждает
возможность
проведения
данного обучения и направляет Заказчику
односторонне утвержденный и подписанный
Заказ в двух (2) экземплярах со Сметой. В
Заказах указываются график выполнения,
количество Стажеров, стоимость, расписание,
Программа обучения и объем каждого Курса,
место обучения.
1.5.Если условия Заказа удовлетворяют
Заказчика, Заказчик в свою очередь
утверждает Заказ и направляет Учебному
Центру не позднее чем за 20 (дней) до начала
обучения один (1) экземпляр подписанного
Заказа. Получение Заказа, подписанного
двумя
Сторонами,
Учебным
Центром
признается “Датой вступления Заказа в силу”.
В противном случае Заказ признается не
вступившим в силу, а сделка не имеющей
юридической силы. Не позднее чем за 5 дней
до начала обучения Заказчик направляет
Учебному
Центру
Список
Стажеров,
подписанный со своей стороны и носящий
уведомительный характер.
1.6. Согласованные Сторонами Заказы
являются неотъемлемой частью настоящего
Договора.
1.7. Подробное описание Учебной программы
и соответствующих курсов, на основе
которых она сформирована, приводится в
конкретном Заказе к настоящему Договору.
1.8. Заказчик настоящим признает и
подтверждает, что все учебные курсы будут
проведены на русском языке, а техническая
документация, предоставляемая Учебным
Центром для достижения поставленных
целей, на английском языке.
1.9. По окончании обучения каждому Стажеру
выдается
Сертификат
об
успешном
завершении обучения.
1.10 Вышеуказанные обязательства считаются
выполненными
Учебным
Центром
и
принятыми Заказчиком после подписания
Акта приемки (Приложение 2 - форма),
подписываемого
уполномоченными
представителями Сторон для установления
того, что обязательства выполнены в

reasoned refusal from signing of an act of
acceptance of service done during 5 working
days after the day of it delivering, the act are
considered accepted.

В случае непредставления Заказчиком
мотивированного отказа от подписания Акта
приемки оказанных услуг в течение 5 рабочих
дней с момента его предоставления, услуги,
указанные в Акте считаются принятыми.
Article 2: Conditions Precedent
2.1. При направлении своих Стажеров в
местонахождение Учебного Центра, Заказчик
должен
надлежаще
соблюдать
нижеследующее:
(i) Заказчик настоящим обязуется, с
разумной и приемлемой помощью
Учебного
Центра,
обеспечить
соблюдение
Стажерами
всех
административных
требований
и
получение
всех
необходимых
документов (таких, как карточка
медицинского страхования), которые
могут потребоваться в соответствии с
действующими законами и правилами,
и должен оплачивать все связанные с
этим расходы и издержки;
(ii) Стажеры должны соблюдать правила,
действующие и применяемые на
территории Учебного Центра и/или на
объектах, куда Стажеры могут быть
направлены, включая, без ограничений,
правила
внутреннего
трудового
распорядка,
правила
техники
безопасности,
соответствующие
приказы, распоряжения и инструкции;
(iii) На Заказчика возлагаются расходы по
выплате
заработной
платы,
социальному обеспечению, оплате
дорожных расходов, проживанию и
страхованию Стажеров, участвующих в
обучении.
2.2. Замена Стажера Заказчиком допускается
по письменному уведомлению Учебного
Центра, полученного последним не менее чем
за пять (5) дней до начала обучения по
каждому заключенному Заказу.
2.1 When sending its Trainees to Training
Center, Customer shall duly comply with the
following provisions:
(i)
Customer hereby undertakes, with the
reasonable and useful assistance of
Training Center, cause the Trainees to
comply
with
all
administrative
requirements and to obtain all necessary
documents (such as medical insurance
certificates) as may be required by and in
accordance with all applicable laws and
regulations, and shall in such event bear
all costs and expenses related thereto;
(ii)
The Trainees shall observe all applicable
rules in force at the Training Center’s
premises and/or sites to which Trainees
may be commissioned or assigned,
including without limitations: applicable
internal labour regulations, safety and
security rules, relevant
directives,
instructions and policies;
(iii) It will be the responsibility of Customer to
bear the cost of wages, social security,
traveling
expenses,
charges
of
accommodation as well as insurance
obligations of the Trainees participating in
training.
2.2 Replacement of the Trainee by the Customer
may be allowable only upon written notification
to the Training Center to be received by the latter
five (5) days prior to the commencement of
training under each signed Order.

Payment terms and conditions
3.1 The Estimated Value of this Agreement due
to be paid by the Customer shall be reckoned up
on the basis of the value of each separate Order
but not more than ______ (______) rubles. The

value of each Order shall be denominated in
Russian RUB.
3.2 All payments to the Training Center shall be
effected in Russian rubles.
3.3 Services in training of the Trainees of the
Customer under this Agreement are free of
assessment by the Value Added Tax (VAT) in
accordance with the Tax Code of the Russian
Federation, part II, section VIII “Federal Laws”,
chapter 21 “Value Added Tax”, article 149,
paragraph 2, item 14.
3.4 All payments shall be made in accordance
with the following Payment Schedule:
3.4.1 One hundred (100%) per cent of the
Estimated Order Value, shall be paid by the
Customer within ten (10) days after the signature
of this Order but in any case before commencing
of performance of the obligations assumed by the
Training Center.
3.5 The obligations of the Customer to effect the
payments, as defined in Article 3.4 above, shall
be deemed wholly and duly completed upon
the crediting of the respective payment to the
bank account of the Training Center.
3.6At least once a year, as well as to the extent
necessary, the Parties shall reconcile payment for
services rendered to the design of two-way
matching calculation of the Act. Reconciliation
statement calculated to an interested party in
duplicate
and
signed
by
authorized
representatives of the Parties. Side-initiator sends
to the receiving Party originals Act Settlements
verification mail service with notification. Within
10 (ten) working days of receipt of verification of
calculations of the Act Party Beneficiary must
sign, stamp, send one copy of the reconciliation
of payments to the parties initiating or provide
written reasoned objections to the reliability of
the information contained herein.
3.2. Оплата Учебному Центру осуществляется
в рублях.
3.3. Услуги по обучению Стажеров Заказчика
в рамках настоящего Договора НДС не
облагаются согласно Налоговому Кодексу
Российской Федерации, часть II, раздел VIII
"Федеральные налоги", глава 21 "Налог на
добавленную стоимость", статья 149, п.2,
пп. 14.
3.4.Все платежи производятся в соответствии
с нижеследующим Графиком Платежей:
3.4.1. Сто процентов (100%) от Сметной
стоимости каждого Заказа, выплачивается
Заказчиком в течение десяти (10) дней после
подписания данного Заказа, но в любом
случае до начала выполнения Учебным
Центром принятых на себя обязательств.
3.5
Обязательства
Заказчика
по
осуществлению платежей согласно Статьи 3.4
Договора считаются выполненными по
зачислению соответствующего платежа на
расчетный счет Учебного Центра.
3.6. Не реже одного раза в год, а так же по
мере необходимости, Стороны осуществляют
сверку расчетов за оказанные Услуги с
оформлением двустороннего Акта сверки
расчетов. Акт сверки расчетов составляется
заинтересованной
стороной
в
двух
экземплярах
и
подписывается
уполномоченными Представителями Сторон.
Сторона-Инициатор направляет в адрес
Стороны-Получателя оригиналы Акта сверки
расчетов почтовой связью с уведомлением. В
течение 10 (десяти) рабочих дней с даты
получения Акта сверки расчетов СторонаПолучатель должна подписать, заверить
печатью, направить один экземпляр Акта
сверки расчетов в адрес Стороны-Инициатора
или
предоставить
письменные
мотивированные возражения по поводу
достоверности
содержащейся
в
нем
информации.
Статья 4: Заверения и Гарантии
Article 4: Representations and Warranties
4.1.В
процессе
выполнения
своих
обязательств в рамках настоящего Договора
Учебный Центр обеспечит каждого Стажера
одним (1) комплектом необходимых учебных
программ, документации и технических
данных (далее – “Учебные Материалы”).
4.1 Within the period of performance of the
obligations as defined under this Agreement, the
Training Center shall provide each Trainee with
one (1) set of necessary training programs,
documentation and technical data (collectively
“Training Materials”).
4.2 Вышеуказанные Учебные Материалы во

Customer to any third party and persons who are
not authorized and/or supposed to have access to
or knowledge of such files and information.
4.3 The Training Center shall, free of charge,
provide to each Trainee telecommunication (i.e.
internet access, long-distance calls and facsimile
connection) necessary to clarify and resolve any
technical and/or moot question as may be of
relevance.
4.4 The Customer agrees to deal with and to hold
the Training Center harmless from and against
any loss, damage and additional costs and
expenses suffered by the Customer due to the
occurrence of or occasioned by any incidents
(including traffic accidents), thefts or robberies,
death or bodily injury of any person sent by the
Customer to the premises of the Training Center,
if other is not provided by legislation of the
Russian Federation
The Customer undertakes to settle all legal
proceedings affected thereby on its own name
and on its own behalf and do not implicate the
Training Center as a joinder in any possible
litigation.
4.5 The Contractor is obliged to provide the
information to Customer about changes in
the executive bodies of the Contractor, within
a period not exceeding five (5) calendar days
after such changes.
The Contractor shall provide the information
on executive bodies, in accordance with the
form set out in Annex № 3 hereto.
The Contractor agrees to provide information
and supporting documents in OJSC "RZHD"
and the federal executive bodies under this
paragraph.
The Contractor warrants that all necessary
steps to ensure that the rights of individuals
whose personal data may be transferred to the
Customer under this Agreement (including the
above persons informed about the processing
of their personal data, the purposes and data
bases, on the intended user data) has taken
and obtain their consent to such processing,

передаваться,
сообщаться или другим образом разглашаться
Заказчиком какой-либо третьей стороне или
лицам, которые не уполномочены и/или не
должны иметь доступ к таким данным и
информации.
4.3 Учебный Центр должен обеспечить за
свой счет каждому Стажеру связь (т.е. доступ
к электронной почте, междугородной связи и
возможность
пользования
факсом),
необходимую для прояснения и разрешения
каких-либо важных технических и/или
спорных вопросов.
4.4. Заказчик обязуется, если иное не
предусмотрено
законодательством
Российской
Федерации,
самостоятельно
рассматривать
и
не
перекладывать
ответственность на Учебный Центр за какиелибо убытки или ущерб, а также
дополнительные
расходы
и
затраты,
понесенные Заказчиком по причине какихлибо несчастных случаев (включая ДТП),
краж
или
ограблений,
смерти
либо
причинения телесных повреждений какомулибо физическому лицу, направленному
Заказчиком в местонахождение Учебного
Центра.
Заказчик обязуется от своего имени и за свой
счет урегулировать все связанные с этим
судебные разбирательства и не вовлекать
Учебный Центр в возможные судебные
процессы.
4.5 Для заключения настоящего Договора
Учебный
Центр
обязан
предоставить
Заказчику
информационную справку,
содержащую сведения о собственниках
Учебного
Центра,
включая
конечных
бенефициаров,
с
приложением
подтверждающих документов. В случае не
предоставления
Учебным
Центром
вышеуказанных сведений и документов
Заказчик вправе отказаться от заключения
Договора.
Учебный Центр
обязан
предоставлять Заказчику информацию об
изменениях в исполнительных органах
Учебного Центра, в срок, не превышающий 5
(пять) календарных дней после таких
изменений.
Информацию об исполнительных органах
Учебный Центр
предоставляет в
соответствии с формой, приведенной в
Приложении № 3 к настоящему Договору.
Учебный Центр
дает согласие на
направление предоставленной в рамках
настоящего

Статья 5: Ответственность Сторон
Article 5: Liability of the Parties
5.1 In case of a delay in payments of the
Customer in accordance with Article 3.4.1 herein
above the Training Center shall have the right,
without prejudice to the exercise of any other
rights or remedies which may be available to it,
to claim from the Customer to pay off the penalty
fee in the amount equal to zero point one per cent
(0.1%) of the value of the debt for each further
day of delay, but not exceeding a total amount of
five (5%) per cent of that value.
5.2 In case that the Customer fails to attend the
training on mutually agreed time, written notice
shall be given to the Training Center’s
Representative not less than seven (7) calendar
days prior to training register date. Within this 7
calendar days period, any cancellation or
schedule changes will lead to penalties as shown
below:
0-7 days prior notice: 100% training fee of the
cancel course
7+ days prior notice: no cancellation fee
5.1 В случае задержки оплаты Заказчиком в
соответствии со Статьей 3.4.1, Учебный
Центр имеет право, без отказа от других прав
или использования имеющихся у него
средств, требовать от Заказчика выплаты пени
в размере одной десятой процента (0,1%) от
суммы задолженности за каждый день
просрочки, но не более суммы равной пяти
(5%) процентам от суммы указанной
задолженности.
5.2 В случае, если Заказчик не может принять
участие в обучении в ранее согласованные
сроки,
Полномочному
Представителю
Учебного Центра должно быть предоставлено
письменное уведомление не менее чем за семь
(7) календарных дней до начала обучения.
Учебный Центр имеет право требовать от
Заказчика выплаты штрафных санкций
согласно следующей схеме
0-7 дней до начала обучения: 100% от
стоимости обучения
7 дней и более – штрафные санкции
отсутствуют
5.3 В случае задержки в выполнении
обязательств, изложенных в Статье 1.1, по
сравнению со сроками, приведенными выше в
Статье 1.2, Заказчик имеет право требовать от
Учебного Центра выплаты пени в размере
одной десятой процента (0,1%) от стоимости
соответствующего Заказа за каждый день
задержки, но не более суммы, равной пяти
процентам (5%) от этой стоимости.
5.3 In the event of delays in fulfillment of the
obligations set forth in Article 1.1 above as
compared with the Time Schedule listed in
Article 1.2 herein above, the Customer shall have
the right to claim from the Training Center to pay
off the penalty fee in the amount equal to zero
point one per cent (0.1%) of the value of the

5.4 Conditions of Articles 5.1 and 5.2 shall be
applied only on condition that the non-defaulting
Party, entitled to get penalty, submits
corresponding written reclamation to that effect
sent to the other Party in default which default
has not been cured by the said Party in default
within a period exceeding five (5) days.
5.5 Notwithstanding any other provision in this
Agreement, no Party and/or its agents and
subcontractors shall be liable to the other Party,
its agents and subcontractors, for any indirect or
consequential damages, including but not limited
to loss of profits or revenues, loss of goodwill or
reputation, loss of data or information, loss of
interests.
5.6 The Training Center's total aggregate liability
for damages caused to the Customer and/or to
third parties due to the fault of Training Center or
its nominated subcontractors, the employees or
agents of such authorized subcontractors within
the specific Purchase Order shall be limited to
the amount of the relevant Purchase Order.

5.5 Независимо от положений данного
Договора, ни одна из Сторон и/или ее агентов
и субподрядчиков не несет ответственности
перед другой Стороной, ее агентами и
субподрядчиками за косвенный ущерб,
включая, но не ограничиваясь потерей
прибыли и доходов, потерей престижа и
репутации, потерей данных и информации,
процентных доходов.
5.6 Общая совокупная ответственность
Учебного Центра за ущерб, нанесенный
Заказчику и/или третьей стороне по вине
Учебного Центра или его доверенных
субподрядчиков, работников или агентов
субподрядчиков в рамках конкретного Заказа
ограничена Ценой соответствующего Заказа.
Статья 6: Форс-Мажор
Article 6: Force Majeure
6.1 "Force Majeure" denotes any and all events,
which are outside of the reasonable control of the
affected Party, the occurrence and effects of
which cannot be reasonably foreseen and
prevented and owing to which it is not possible to
execute the Agreement within the terms and at
the conditions thereof. (e.g. war, revolutions or
other military conflicts, natural disasters, fires,
and labour conflicts, etc.).
6.2 The affected Party shall immediately report in
writing to the other Party of the nature and the
beginning and the end of the Force Majeure
circumstances preventing the implementation of
the Agreement.
Terms of fulfillment of the obligations and other
contractual conditions as affected by such
circumstances, shall be adapted to reflect the
period and consequences of such events.
6.1 Под Форс-мажорными обстоятельствами
понимаются
все
и
любые
события
непреодолимой силы, которые не зависят ни
от одной из Сторон, происхождение и

сроков и условий (например, пожары, войны,

6.2 Затронутая этим событием Сторона
должна немедленно письменно сообщить
другой Стороне о его характере, начале и
прекращении
действия
форс-мажорных
обстоятельств, препятствующих выполнению
Договора.
Сроки исполнения обязательств и прочие
договорные условия, на которые влияют такие
обстоятельства, должны быть изменены в
зависимости
от
продолжительности
и
последствий таких событий.
Статья 7: Арбитраж

9.2.
Поправки
и/или
дополнения

настоящему Договору, его Приложениям и
Заказам могут вноситься только в письменной
форме, будучи подписанными официально
уполномоченными представителями Сторон.
9.3. Настоящий Договор составлен в двух (2)
идентичных экземплярах на английском и
русском языках, один (1) из которых

provision had never been contained therein and in
such event the Parties hereto shall endeavor to
substitute forthwith such other enforceable
provision.
Article 10: Notices and Reports.

10.1 Any notices and reports required to be given
by one Party to the other under this Agreement
shall be deemed properly given if reduced to
writing and:
(i) personally delivered, or
(ii) sent by facsimile and/or e-mail, signed by
an authorized representative of the sending
Party with immediate correct answerback

(iii) by cable or in the form of pre-paid
registered letter, return receipt requested, to
the addresses mentioned under Article 11
herein below.
10.2 For the purposes of duly and timely
implementation of this Agreement each Party

расхождения между английским и русским

превалирующее значение.
9.4.В случае, если одно или несколько
положений
настоящего
Договора
или
Приложений к нему по какой-либо причине
окажутся
неправомочными
или
недействительными, то это не должно влиять
на другие их положения. Настоящий Договор
и Приложения к нему должны толковаться,
как если бы в них не было такого
недействительного положения, и в этом
случае Стороны попытаются заменить такие
положения действующими.
Статья 10: Уведомления и отчеты,
Ответственные исполнители
10.1 Любые уведомления и отчеты по
данному Договору должны быть оформлены
обеими Сторонами в письменной форме и
будут считаться доставленными надлежащим
образом в случае:
(i) доставки лично в руки, или
(ii) отправки по факсу и/или электронной
почте, за подписью уполномоченного
представителя отправляющей Стороны с
немедленным
подтверждением
о
получении, или
(iii) телеграммами или оплаченным заказным
или ценным письмом, с запросом
подтверждения получения, по адресам,
приведенным в Статье 11 Договора.
10.2 В целях оперативности надлежащего
выполнения условий настоящего Договора,
каждая из Сторон в подписываемых Заказах
назначает
своего
Ответственного
исполнителя по Заказу:
