(A)
Pursuant to the resolution No. 15/20102014 of the Committee of Economy and
Informatics of the Parliament of Hungary,
VolDan is entitled to exclusively promote special
purpose bonds (the “Bonds”) issued by Hungary
for the citizens of Russia (or for companies the
majority shares of which are owned by the same
citizens), in accordance with clause 28 (3) of Act
No. II of 2007 on the Admission and Right of
Residence of Third-Country Nationals (the
“Act”). On basis of the Act, a residence permit
may be issued to a third-country citizen whose
entry and residence in Hungary is in the interest

The Client wishes to invest into the Bonds
and wishes to engage VolDan to provide the
Client with assistance for obtaining the temporary
and the permanent residence permit (the
“Permit”) for [*]. Concerning the cooperation
between the Client and VolDan, an agency
agreement will be signed by and between VolDan
as agent and the Client as principal on or around
the date of the signing of the present Agreement
(the “Agency Agreement”).

разрешения на временное и постоянное
проживание ("Разрешение") для [*].

Клиентом как поручителем и VolDan-ом как

("Агентский Договор") в день или около
дня подписания настоящего Договора.
(C)
Pursuant to the Agency Agreement,
VolDan shall be obliged to give assistance to the
Client in all phases of the procedure of obtaining
the temporary residence permit. VolDan shall be
obliged to provide the Client with a
comprehensive list of documents which are
required to initiate the application procedure of
the temporary residence permit and shall give all
instructions to the Client so as the application
procedure can be completed in a timely manner.
The Client acknowledges that she has to initiate
the application procedure of obtaining the
temporary residence permit by submitting among
others the form holding the title: “Application for
residence permit” (the “Application”) at the
competent consulate of Hungary. The Application
shall be compiled by VolDan on the basis of the
documents and information provided by the
Client.

VolDan обязуется оказывать помощь
Клиенту на всех этапах процедуры
приобретения разрешения на временное
проживание. VolDan обязуется передать
Клиенту полный список документов
необходимых
для
инициирования
ходатайства по приобретению разрешения
на временное проживание, а также обеспечит
Клиента
всеми
инструкциями
необходимыми для своевременной подачи
ходатайства.
Клиент
осознаёт
факт
необходимости инициирования процедуры
приобретения разрешения на временное
проживание путем подачи Клиентом в
компетентное консульство Венгрии, среди
прочего, заполненной формы под заглавием:
"Заявка на разрешение на проживание"
("Заявка"). Форму Заявки заполнит VolDan,
основываясь на документах и информации
полученной от Клиента.
(D) Following the receipt of the temporary
residence permit, the Client either personally or
with an authorisation given to VolDan
simultaneously with submitting the application
forms, shall open a bank account under its own
name at Granit Bank Zrt. hereinafter the

VolDan and the Client hereby appoint the Escrow
Agent to hold in escrow the Escrow Amount (as
defined below). The Escrow Agent hereby
accepts such engagement. VolDan and the Client
acknowledge that this Agreement can not be
terminated by a unilateral statement of either
parties and the Parties shall be entitled to claim
the release of the Escrow Documents and/or
Escrow Amount only in accordance with the
provisions of this Agreement.
3. Escrow of the Escrow Amount
3.1. The Parties agree that the Client puts into
escrow the amount of EUR 300 000 (that is three
hundred thousand euros) (the „Escrow
Amount”) in accordance with the provisions of
this Agreement.
3.2. The Parties agree that within 30 (that is thirty)
days after the signing of this Agreement at latest,
the Client transfers the full Escrow Amount to the
escrow bank account of the Escrow Agent with
bank account number

целью хранения Условного Депозита на
сумму (см. ниже). Агент Эскроу назначение
принимает. VolDan и Клиент подтверждают,
что данный Договор не подлежит
одностороннему расторжению ни одной из
Сторон.
Стороны
полномочны
распоряжаться о выдаче Депозитных
Документов и/или Депозитной Суммы
только в соответствии с положениями
данного Договора.
3. Условное депонирование Депозитной
Суммы
3.1. Стороны согласны, чтобы Клиент
условно депонировал сумму в 300.000 евро
(триста тысяч евро, "Депозитная Сумма") в
соответствии с положениями данного
Договора
3.2. Стороны согласны, чтобы в пределах и
не позже тридцати дней после подписания
данного Договора Клиент перевел полную
Депозитную Сумму на банковский счет

3.3. The Parties agree that the Escrow Agent shall
immediately, but within 3 working days at the
latest notify the Client and VolDan with a written
notice on the credit of the full Escrow Amount on
the Escrow Account.

незамедлительно и не позже трех дней в
письменной форме уведомил Клиента и
VolDan о кредитовании полной Депозитной
Суммы на Условном Счёте.
4. Procedure regarding the Escrow Amount
4. Процедуры в связи с Условным Счетом
4.1. The Service Provider undertakes to
immediately, but within 3 working days at latest
notify in writing the Client and the Escrow Agent
in case the authorised attorney of the Client
receives the residence permit cards of [*] from the
competent Hungarian immigration authority (the
„Notification”). The Service provider shall also
be obliged to notify in writing the Client and the
Escrow Agent in case the Client’s request is
refused by the Hungarian immigration authority
(the „Notification”).
4.1.

образом уведомить Клиента и Агента Эскроу
в случае отказа полученного от венгерского
иммиграционного ведомства на Заявку
Клиента.
4.2. Upon receipt of (i) the Notification (including
the checking of the original residence permit
cards by the escrow Agent) the Escrow Agent is
obliged to release and transfer the Escrow
Amount within 3 working days to the special
“blocked bank account of VolDan with bank
account number IBAN: HU02 1210 0011 1014
2556 0000 0000 held at Gránit Bank Zrt (the
„VolDan Account”).
4.2. После получения (i) Уведомления

4.3. The Parties agree that if

Pursuant to the Agency Agreement, the Service
Provider is entitled to charge an abortion fee of
net EUR 2,500 in case of refusal of the Client’s
request. Such abortion fee shall be deducted from
the Escrow Amount and shall be transferred to the
VolDan Account by the Escrow Agent.

Провайдеру Услуг полагается плата за срыв
в сумме 2.500 евро нетто, в том случае, если
Клиенту отказано в удовлетворении
ходатайства. Плата за срыв вычитывается из
Депозитной Суммы и переводится Агентом
Эскроу на Счёт VolDan-а.
5. The Escrow Agent

Agreement except as required by mandatory
provisions of rules and regulations of Hungary;

the opinion of the Parties the Escrow Agent shall
be entitled to rely upon any order, judgment,
certification, demand, notice, or other written
instrument delivered to it hereunder without being
required to determine the authenticity or the
correctness of any fact stated therein or validity or
the service thereof. The Escrow Agent may act in
reliance upon any instrument or signature
believed by it to be genuine and may assume that
any person purporting to give receipt or advice or
make any statement or execute any document in
connection with the provisions hereof has been
duly authorised to do so.
5.4. В отношении сообщений и мнений
получаемых от Сторон, Агент Эскроу вправе
действовать не подвергая сомнению или
проверке достоверности или правомерности
распоряжений,
суждений,
требований
содержащихся в получаемых письменных
документах. Агент Эскроу вправе полагаться
на
достоверность
подписей
и
компетентность лиц от которых получает
советы, заявления, документы в связи с
положениями Договора.
6. Notices
6. Справки
6.1. Any notice or other document given or sent
by either Party to the other in connection with this
Agreement shall be deemed to have been received
if by registered mail with the acknowledgement
of receipt, on the date of posting indicated on the
acknowledgement of receipt. If the notice was
sent via courier or delivery service and the courier
or delivery service keeps a registry of mail
delivered, on the date indicated therein.
6.1. Любые справки или документы
посылаемые какой-либо из сторон другой в
связи с Договором рассматривается как
заказная почта с выдачей квитанции в
которой следует указать дату отправления
послания. Если послание осуществляется
через курьера или службу доставки,
принимается во внимание дата в журнале
доставки.
6.2. For the purposes of this Agreement, the

7. General
7. Общее
7.1. This Agreement shall be binding upon and
inure solely for the benefit of the Parties hereto
and their respective successors and assigns. No
Party may assign any of its rights or obligations
under this Agreement without the prior written
consent of the other Parties.
7.1. Данный Договор имеет обязующую
юридическую силу только в интересах
Сторон
или
их
наследников
и
уполномоченных.
Стороны не вправе
передавать свои права и обязанности по
данному Договору без предварительного
письменного соглашения других Сторон.
7.2. The Escrow Agent shall not be bound by any
modification of this Agreement, unless such
modification is in writing and signed by all the
Parties hereto.

любыми поправками к данному Договору, за
исключением письменных и подписанных
всеми Сторонами.
7.3. This Agreement shall be construed in
accordance with and governed by Hungarian law.
This Agreement has been signed in the English
and in the Russian language. In case of
discrepancy between the two versions, the
English version shall prevail.

7.4. Any controversy or claim arising out of or
relating to this Agreement or the breach hereof
